Términos y condiciones

1. Definiciones

En estas condiciones, la «Compañía» se refiere a sample catalog supply y los servicios de fabricación personalizada asociados. El «Cliente» se refiere a la persona, firma o empresa que compra productos a la «Compañía». El «Contrato» se refiere a cualquier contrato de compraventa de productos y/o suministro de servicios entre la «Compañía» y el «Cliente». Los «Bienes» se denominan a cualquier bien y/o servicio que constituya el objeto del «Contrato». El «Precio del contrato» significa el precio de los Bienes. El «Gerente general» significa el director de la «Compañía».

2. Formación del contrato y privacidad

Gestionamos y protegemos estrictamente la información personal que obtenemos por nosotros mismos o que manejamos en la ejecución de servicios en nombre de los clientes. Con el fin de proteger la información personal de riesgos que incluyen el acceso no autorizado, la pérdida, la destrucción, la falsificación y la filtración, implementamos medidas de seguridad razonables basadas en normas internas de la empresa y, en caso de que ocurra algún problema, responderemos de manera rápida y apropiada.

3. Aplicabilidad de las condiciones

Estos términos y condiciones, a menos que se acuerde lo contrario por escrito, regirán cualquier contrato entre la Compañía y el Cliente, con exclusión de cualquier otros términos o condiciones (ya sean escritos u orales, expresos o implícitos), incluso si están contenidos o se hace referencia a ellos en cualquiera de los documentos del Cliente.

Estos términos y condiciones reemplazan cualquier otro término y condición que rija cualquier contrato anterior entre la Compañía y el Cliente. Ninguna enmienda o modificación de estos términos será efectiva a menos que sea por escrito y esté firmada o aceptada por un Gerente general.

4. Precios e impuestos

Los precios acordados se aplican estrictamente a la especificación y cantidad contractuales, y están sujetos a la visualización de los materiales del Cliente. La Compañía se reserva el derecho de modificar el precio en caso de incumplimiento de la especificación y cantidad contractuales.

A menos que se indique lo contrario, todos los cargos por servicios de mensajería, franqueo, transporte, flete, pruebas de seguridad, impuestos y aranceles aduaneros, cuando correspondan, corren a cargo del Cliente.

Todos los precios indicados en presupuestos, escalas de precios o correspondencia no incluyen el IVA u otros impuestos o aranceles aplicables, los cuales se cobrarán de conformidad con la legislación vigente. Los precios también podrán modificarse debido a fluctuaciones importantes en los tipos de cambio de divisas.

5. PROOFS & COLOR VARIATIONS

Proofs may be submitted for all jobs at the Customer's request. Proofs approved in writing by the Customer will be considered passed for press, and no responsibility will be accepted for errors not corrected by the Customer. Due to differences in equipment and conditions between digital proofing and pressroom operations, reasonable variations by printing industry standards in color between the proofs and the completed job shall be accepted by the Customer.

6. DELIVERY AND PAYMENT TERMS

Existing Customers: Any amounts owed to the Company fall due for payment within 30 days of despatch of the Goods unless otherwise agreed by both parties.

New Customers: Any amounts owed to the Company fall due with a 50% advance payment upon order confirmation and 50% balance before shipment unless otherwise agreed.

Delivery of Goods shall at all times be subject to INCO 2020 terms unless specifically agreed otherwise. Any transport loss or damage must be reported by the Customer to the Company in writing within 14 days from receipt.

Delivery dates are given by way of guidance only. In accordance with international manufacturing practice, over or under-delivery of up to 5% shall constitute good delivery, and the Company will bill for the actual quantity delivered within this tolerance.

7. CUSTOMER'S MATERIALS

Customer's materials (documents, artwork, layouts, digital files) will be held and transported at the Customer's risk. The Company will not be liable for any loss or damage caused to Customer's materials while held or worked on and the Customer should insure accordingly.

The Customer must maintain backup copies of all original electronic files. The Company reserves the right to make extra charges for storage of Customer’s materials.

8. INTELLECTUAL PROPERTY

You represent and warrant that you have the legal right to use any artwork, logos, trademarks, or designs submitted for production. We are not liable for any intellectual property infringement in customer-provided designs.

9. DEFECTS & CLAIMS

Defects attributable to faulty materials or workmanship must be notified to the Company in writing within 14 days of receipt of the Goods.

If more than 3% of the Goods are found to contain commercial defects, the Company shall, at its option, repair or replace the defective Goods within a reasonable time, or credit the Customer with the price of such defective Goods.

10. LIMITATION OF LIABILITY

These conditions do not exclude or restrict liability for fraud, death, or personal injury caused by negligence. The Company shall not be liable for indirect or consequential loss or damage, including loss of profit or business reputation.

The Company’s aggregate liability to the Customer under any contract shall not exceed the total price paid for the specific Goods to which the claim relates.

11. PRODUCT SAFETY & COMPLIANCE

Sole responsibility for ensuring that the Goods can be legally offered for sale and have been tested to applicable safety and environmental standards for the destination market rests with the Customer.

12. ARTWORK & DESIGN ASSISTANCE

We offer complimentary design assistance. You retain all intellectual property rights to your artwork and designs. We require print-ready files in PDF, AI, or PSD format at a minimum of 300 DPI resolution.
